1. Acceptance of Terms

This website is owned and operated By HILLS AND DALES APPARELS PRIVATE LIMITED a company incorporated under the Companies Act, 1956, with its registered office at 252, Lalu Mal Street, Chaura Bazar, Ludhiana – 141008, Punjab, India (“Company”, “we”, “us”, or “our”).
These Terms and Conditions (“Terms”, “Agreement”) govern your access to and use of this Site and all related services, including browsing, selecting, and purchasing clothing and accessories (“Products”, “Goods”, or “Services”).
By accessing, visiting, or using this Site, you (“User”, “Customer”, “Buyer”, or “you”) acknowledge that you have read, understood, and agreed to be bound by these Terms and our linked Privacy Policy. If you do not agree with any of these Terms, you must not use this Site.
Your continued use of the Site signifies your acceptance of any modifications or updates to these Terms, which may be made by Kalavi from time to time.
2. Modification of Terms
Kalavi reserves the right to modify, amend, or update these Terms or the Privacy Policy at any time by posting a revised version on the Site. Changes shall become effective immediately upon posting unless a “Substantial Change” is introduced, in which case users will be notified at least 30 days in advance via their preferred notification channel (email or Site notice).

You may choose to unsubscribe from promotional communications by selecting the “Unsubscribe” option available in our emails. However, administrative or transactional communications related to your purchases cannot be opted out of.
5. Eligibility for Use
Access to the Site is available only to individuals who are legally capable of entering into binding contracts under the Indian Contract Act, 1872.
Minors (persons under 18 years of age), undischarged insolvents, or otherwise incompetent individuals are not eligible to register or use the Site.
If a minor wishes to purchase from the Site, the transaction must be made by their parent or legal guardian.
Kalavi reserves the right to terminate or refuse membership if it is found that a user is underage or has provided false information.
6. User Account and Responsibility
To access certain areas or purchase Products, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential.
You are solely responsible for all activities conducted through your account. Any unauthorized use must be reported immediately to Kalavi. The Company is not liable for losses arising from unauthorized access due to your negligence.
Kalavi reserves the right to suspend or terminate accounts, refuse service, or cancel orders at its sole discretion.
7. User Information and Conduct
“Your Information” refers to any data, content, or material you provide on the Site through registration, feedback, posts, or communications. You are solely responsible for Your Information.
You agree not to host, upload, transmit, or share any material that:

Non-compliance may result in immediate suspension or termination of access in accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
By posting content, you grant Kalavi a non-exclusive, global, perpetual, royalty-free, sublicensable license to use, reproduce, distribute, and display such material in connection with its services, subject to the Privacy Policy.
8. Equipment
You are responsible for obtaining and maintaining all necessary hardware, software, and internet connectivity required to access the Site. Kalavi shall not be liable for any loss or damage to your equipment resulting from use of the Site.
9. Product Display and Colors
Kalavi strives to display the colors and features of its products accurately. However, variations may occur due to differences in monitor settings, screen resolution, and lighting. The Company does not guarantee color accuracy.
10. License and Access
Kalavi grants you a limited, non-exclusive, revocable license to access and use the Site for personal, non-commercial purposes.
This license does not permit:

12. Pricing and Product Information
All prices displayed on www.kalavi.in are determined by Kalavi and may change without notice. Prices are not guaranteed to be the lowest available.
In case of typographical or pricing errors, Kalavi reserves the right to cancel or modify orders and notify you accordingly. Refunds (if applicable) will be processed to your original payment method.
13. Order Cancellations
By Kalavi: Orders may be canceled at Kalavi’s discretion for reasons including but not limited to limited stock, pricing errors, or quality issues. If canceled post-payment, the amount will be refunded within 10 working days.
By Customer: Cancellations are accepted only within 24 hours of placing an order, provided it has not been processed or shipped. Requests after this period may not be honored.
14. Fraudulent Transactions
Kalavi reserves the right to suspend or terminate any accounts involved in fraudulent or suspicious activity. Legal action may be taken, and all associated costs and damages may be recovered from the offender.
15. Payment and Credit Card Information
You agree to provide accurate payment details and to use only payment methods lawfully owned by you. Kalavi shall not be liable for unauthorized or fraudulent card use; such liability rests with the user.
16. Disclaimer of Warranties
All content, products, and services on the Site are provided “as is” without any warranty, express or implied. Kalavi does not guarantee uninterrupted access, accuracy, or suitability of products for a particular purpose.
Any warranty, if applicable, is provided solely by the manufacturer or supplier. Users must direct claims to the respective manufacturer.
17. Limitation of Liability
Under no circumstances shall Kalavi, its affiliates, directors, employees, or agents be liable for any direct, indirect, incidental, consequential, or punitive damages arising from use of the Site, products, or services, even if advised of the possibility of such damages.
18. Indemnification
You agree to indemnify and hold harmless Kalavi, its affiliates, officers, and employees from any claims, damages, or liabilities (including legal costs) arising from your breach of these Terms, applicable laws, or third-party rights.
19. Billing and Taxes
Prices are inclusive of applicable taxes (including VAT/GST). Shipping costs and taxes are calculated based on delivery destination. Kalavi reserves the right to collect applicable duties and taxes as per law.
20. Delivery and Risk of Loss
Kalavi aims to deliver all orders within 1-2 weeks of purchase, subject to product availability and logistics. Delays may occur due to supplier or courier issues.
Ownership transfers upon delivery and receipt acknowledgment at the address specified. For deliveries made to third parties (e.g., gifts), a signature at the delivery address constitutes proof of receipt.
Refunds are not available for Cash-on-Delivery (COD) transactions.
21. Intellectual Property
All trademarks, logos, and content on www.kalavi.in are the property of Kalavi Private Limited or their respective owners. Unauthorized use, reproduction, or distribution of Site materials is strictly prohibited.
22. Relationship
Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Kalavi. You have no authority to bind or represent the Company.

Notices to you shall be sent via email or postal address as provided during registration. Notices are deemed served 24 hours after email dispatch or 3 days after postal mailing.
24. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.
25. Termination
Kalavi may, at its sole discretion, terminate your access to the Site without notice for any violation of these Terms. Clauses that by their nature are intended to survive termination shall continue to apply.
26. Arbitration
Any dispute arising out of or in connection with these Terms shall be referred to a sole arbitrator, appointed by Kalavi. The place of arbitration shall be New Delhi, India, and proceedings shall be conducted in English, governed by the Arbitration and Conciliation Act, 1996.
27. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, and the courts at Ludhiana, Punjab shall have exclusive jurisdiction over any disputes arising hereunder.
